This is a legal agreement between you, the Registered User, or User, and ZenonTel, the provider of Voixio services. This agreement applies to your use of Voixio technology, software, documentation, and telecommunication services that are provided to you by using Voixio services (Services). By registering for Voixio services, you agree to the terms and conditions of this Agreement. Please read this Agreement carefully. If you do not agree to the terms of this Agreement, DO NOT register for Voixio services. By registering for Voixio services, you accept and agree to be bound by the terms of this Agreement, including prices, charges, and terms and conditions of the service provided during the service registration process including marketing and informational materials associated with service offers, and on the Voixio web site, all of which are incorporated herein by reference.

When You Register for Voixio, You Agree to these Terms:

By registering for Voixio Services you are entering into a legal binding agreement with Voixio. By your registration for and/or use of Voixio services you agree to the use of electronic communication in order to enter into agreements, place orders, and to the electronic delivery of notices, policies and records of transactions. You also waive any rights or requirements under any laws or regulations in any jurisdiction which require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent permitted under applicable mandatory law.

Voixio Services Include:

Voixio Flash Phone - provides members with free and paid-for, no-download, full-duplex voice and video calling services accessible from a webpage in any Internet browser
Voixio Conferencing - offers in-page, no-download voice and video conferencing between web and regular telephone phone and mobile users
Voixio click2call - gives members with the ability to embed Voixio flash widgets in their website. When clicked, theregistered Voixio user's computer will ring if they are logged in. If not, users can opt to have their calls diverted to the public switched telephone network (PSTN) or mobile phone
Voixio Call Divert - diverts voice and video calls to other Voixio accounts, SIP addresses or telephone numbers
Voixio Voice and Video Mail - offers recording and playback facility of voice and video flash messages

Voixio is not a Traditional Telephone Service

Voixio is neither a traditional telephone service nor a replacement for your primary telephone service. Voixio is an enhanced voice and video communication service. The service cannot be used to make operator-assisted or collect calls.

Voixio does not Provide Emergency Services

Voixio does not provide Emergency Services. "Emergency Services" means services that connect a user to emergency services personnel or public safety answering points pursuant to applicable local and or national regulatory requirements. Voixio is not a traditional telephone service or a replacement for your primary telephone service. There are important differences between traditional telephone services and services provided by Voixio. You need to make additional arrangements in order to access emergency services. It is your responsibility to purchase, separately from Voixio services, traditional wireless or fixed line telephone services that offer access to emergency services. In the event that, with your permission, another user uses your account, it is your responsibility to inform that user that it is not possible to support or carry emergency calls using the Voixio services.

Neither Voixio, its affiliates nor their respective officers, directors, employees or agents may be held liable for any claim, damage, or loss, and you hereby waive, to the maximum extent permitted by applicable law, any and all such claims or causes of action, arising from or relating to the use of the Software or any other service provided hereunder to contact Emergency Services personnel. You shall defend, indemnify, and hold harmless Voixio, its affiliates and their respective officers, directors, employees or agents and any other service provider who furnishes any services to you in connection with the Software or any other services provided under these Terms, from any and all claims, losses, damages, penalties and expenses (including, without limitation, attorneys fees) by, or on behalf of, you relating to the absence, failure or outage of the service provided by the Software or any other service provided hereunder, including specifically any claims arising out of the failure of Voixio to offer Emergency Services.

You acknowledge and accept that Voixio does not offer Emergency Services. You understand that additional arrangements must be made to access Emergency Services. To access Emergency Services, you acknowledge and accept your responsibility to purchase, separately from any service provided by the Software, traditional wireless or wireline telephone service that offers access to Emergency Services. You recognize and agree that Voixio is not required to offer Emergency Services pursuant to any applicable local and or national rules, regulation or law. You further recognize that Voixio is not a replacement for your primary telephone service.

Getting the Most out of Voixio

In order to make full use of Voixio Services, you must provide certain equipment and services. You must provide Internet connection services including a computer, modem, speakers, microphone and/or webcam. You must also subscribe to local exchange telephone services or wireless telephone services that include "call forwarding on busy and no-answer" for the call-divert feature to work.

Voixio is not Endorsed or Certified by Third Party Service Providers

You acknowledge that Voixio has no relationship with Third Party Services and that although the Voixio service provides connectivity to Third Party Providers' Internet telephone services, neither Voixio nor Voixio Services are endorsed or certified by providers of Third Party Services.

Voixio Services may also make available materials, information, and services provided by third parties. These "Third-Party Services" are provided by separate companies under license agreements that accompany those services. Voixio offers no guarantees and assumes no responsibility or liability of any type with respect to the Third-Party Services, including any liability resulting from incompatibility between the Third-Party Services and the Voixio Services. You agree that you will neither hold nor seek to hold Voixio responsible or liable with respect to the Third-Party Services.

Use of Voixio Services

You agree to use Voixio Services for lawful purposes only. You will not use Voixio Services for unlawful, abusive, or fraudulent purposes. If Voixio has reason to believe that you or someone else is abusing the Services or using it fraudulently or unlawfully, we can immediately suspend, restrict, or cancel the Service without advance notice.
